Terms of Use

Plain-language summary: use Spacelet honestly, only list space you're authorized to list, check permits and the law before activating any space, and treat our reports as estimates, not advice.

1. Agreement to these terms

These Terms of Use (the "Terms") are an agreement between you and Spacelet, Inc. ("Spacelet", "we", "us"). They govern your use of spacelet.com and any related services, including the Activation Report, owner accounts, listings, waitlists and space requests (together, the "Service").

By using the Service you agree to these Terms, our Privacy Policy and our Disclaimers. If you use the Service on behalf of a company or other organization, you agree to these Terms on its behalf and confirm you have authority to do so. If you don't agree, don't use the Service.

2. Who can use Spacelet

You must be at least 18 years old and able to form a binding contract. You're responsible for keeping your sign-in email account secure, for all activity under your account, and for telling us promptly through our contact form at spacelet.com/contact if you believe your account has been accessed without permission.

3. What the Service does

Spacelet helps property owners and managers identify under-used space, estimate what it could earn, and offer it to people looking for space. Activation Reports are generated with artificial intelligence from public records, market data and our own analysis. They are estimates for general information only and are not appraisals, offers, or legal, zoning, tax, financial or investment advice. See our Disclaimers for more.

Unless we expressly agree otherwise in a separate written agreement, Spacelet is not a broker, agent, landlord, tenant, property manager or party to any lease, license or other arrangement between owners and renters, and we don't guarantee that any space will be listed, booked, rented or earn any amount. For bookings made on Spacelet, we collect payment from renters and pay owners as described below.

4. Property claims and listings

If you claim a property or create a listing, you represent that:

  • you own the property or are authorized by its owner to manage, market and lease the space;
  • everything you submit is accurate, current and not misleading, including descriptions, photos, prices and availability;
  • you hold, or will obtain before any use begins, every permit, approval, insurance policy and consent the use requires, and the use complies with zoning, building and fire codes, your Certificate of Occupancy, any lease, mortgage or condominium/cooperative rules, and all other applicable laws; and
  • you will not discriminate against any renter on any basis prohibited by law.

We may verify claims, review listings, ask for documentation, and decline, edit for formatting, unpublish or remove any claim or listing at our discretion. Verification by Spacelet is not a guarantee of ownership, legality or quality.

5. Renters and space requests

Listings are provided by owners. You are responsible for evaluating any space, confirming that your intended use is permitted, and agreeing any further terms directly with the owner. Joining a waitlist or sending an inquiry does not create a booking or reservation.

6. Bookings and payments

Some listings can be booked and paid for on Spacelet. When you request a booking, you pay the total shown, including Spacelet's service fee, at checkout. The owner then has up to five days to accept, and must respond at least 24 hours before the booking starts; for bookings requested within 24 hours of the start, the owner can respond until the start. If the owner declines or doesn't respond in time, you receive a full refund.

Monthly bookings longer than one month: depending on the owner's choice, either (a) Spacelet charges the first month at checkout and then charges the same payment method automatically at the start of each following month until the end of the term, with a 5% Spacelet fee to both renter and owner on each month, or (b) Spacelet charges only the first month, with standard fees, and the renter pays the remaining months to the owner directly under the arrangement they agree. The listing and checkout show which applies. Spacelet isn't responsible for payments made outside Spacelet.

A booking is confirmed when the owner accepts it. It gives the renter a temporary license to use the space for the booked time and purpose, under the listing's description and any rules the owner shares; it is not a lease and doesn't create a landlord-tenant relationship. Renters must use the space lawfully, leave it as they found it, and are responsible for damage they or their guests cause.

Cancellations: until 24 hours before a booking starts, the renter can cancel a request or a confirmed booking, and the owner can cancel a confirmed booking, on Spacelet, and the renter receives a full refund, including the service fee. Within 24 hours of the start, including bookings made within 24 hours of the start, bookings can't be canceled online; contact us at spacelet.com/contact and we'll work with both sides case by case. Ending a monthly booking early, or stopping monthly payments, is also handled through spacelet.com/contact. Spacelet may refund a renter, in whole or in part, where a space isn't available or isn't as described.

Owners are paid the owner's share of each confirmed booking, after Spacelet's fee, 24 hours before the booking begins, or as soon as the owner accepts if that's later. With monthly billing, later months are paid to the owner as each month's payment is collected. Spacelet may hold or reverse a payout in cases of suspected fraud, a dispute or a refund.

Payments are processed by Stripe. Owners who receive payouts agree to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service, and authorize Spacelet to share information with Stripe to set up and run their account. Spacelet doesn't store full card or bank account numbers.

7. Your content

You keep ownership of the photos, text and other material you submit ("Your Content"). You grant Spacelet a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (for example, resizing photos or drafting listing copy), display and distribute Your Content to operate, improve and promote the Service.

You're responsible for Your Content and confirm you have the rights to share it. Don't upload content that is unlawful, misleading, infringing, harassing or that shows identifiable people, personal information or another platform's branding without permission. Automated checks we run on photos and text are aids, not guarantees.

8. Acceptable use

You agree not to:

  • scrape, crawl, copy or harvest data from the Service, including Activation Reports, beyond normal personal use;
  • use the Service or its output to build a competing product or dataset;
  • circumvent rate limits, security or access controls, or interfere with the Service;
  • submit false claims, impersonate anyone, or list space you're not authorized to list;
  • use the Service for anything unlawful, fraudulent or harmful.

9. Our intellectual property

The Service, including its software, design, reports, text, graphics and the Spacelet name and logo, belongs to Spacelet or its licensors and is protected by law. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. You may share your own Activation Report, but you may not resell it or present it as your own analysis.

10. Fees

Activation Reports, listing a space and joining a waitlist are free. For bookings made on Spacelet, renters pay a service fee shown at checkout before they pay, and owners pay a fee taken from each payout, shown on the booking. We'll tell you before any fee changes, and changes won't apply to bookings already confirmed.

You agree to arrange and pay for bookings of spaces you find on Spacelet through Spacelet, and not to use the Service to find a counterparty and then complete the same booking elsewhere to avoid fees.

11. Third-party services

The Service relies on third-party providers (for example, hosting, email and data providers) and may link to third-party sites. We aren't responsible for third-party services, sites or content.

12. No investment offering

Nothing on the Service is an offer to sell, or a solicitation of an offer to buy, any security or investment product. Any future investment feature would be offered only through separate documentation and in compliance with applicable law.

13. Disclaimer of warranties

THE SERVICE AND ALL CONTENT, INCLUDING ACTIVATION REPORTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY ESTIMATE WILL BE ACCURATE OR ACHIEVED.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPACELET AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR PROPERTY VALUE, ARISING FROM OR RELATED TO THE SERVICE OR ANY ARRANGEMENT BETWEEN OWNERS AND RENTERS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

15. Indemnity

You agree to defend, indemnify and hold harmless Spacelet and its officers, directors, employees and agents from any claims, damages, losses and expenses (including reasonable attorneys' fees) arising from Your Content, your listings or use of any space, your breach of these Terms, or your violation of any law or third-party right.

16. Suspension and termination

You may stop using the Service at any time and ask us to delete your account. We may suspend or end your access, or remove content, if we believe you've violated these Terms or to protect the Service, other users or third parties. Sections that by their nature should survive termination will survive.

17. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and you and Spacelet consent to their jurisdiction. Before filing a claim, you agree to contact us through spacelet.com/contact and try to resolve it informally for at least 30 days.

18. Changes

We may update these Terms. When we do, we'll change the date above and, for material changes, give notice through the Service or by email. Continuing to use the Service after changes take effect means you accept them.

19. General

These Terms, with our Privacy Policy and Disclaimers, are the entire agreement between you and Spacelet about the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
